Welcome to our site: https://nanotronics.ai/ (the “Site” or “Website”), which is owned and operated by the company of NANOTRONICS IMAGING, INC. (herein referred to as “NANOTRONICS”, “we”, “us”, or “our”).

NANOTRONICS is a science and technology company that has redefined factory control through the invention of a platform that combines AI, automation and sophisticated imaging to assist human ingenuity in detecting flaws and anomalies in manufacturing processes. We work with leading-edge companies – from aerospace, to electronics, to healthcare – to drive up yield, reduce footprint and waste, lower costs, and speed up design iteration.

2. Terms

This Terms & Conditions of Use Agreement (interchangeably, “Agreement,” “Terms of Use,” or “Terms”) is a binding agreement between you (defined below) and us regarding Your use of our Site. By accessing, browsing, using, or otherwise interacting with the Site, you (as a Visitor, defined below) agree to be legally bound by these Terms of Use and our Privacy Policy. A “Visitor” is defined as any individual accessing, browsing, using, or otherwise interacting with the Site (accessing, browsing, using or otherwise interacting with our Site, individually and collectively referred to as “Using” our Site). These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and NANOTRONICS, concerning your access to and use of the Site as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.

NANOTRONICS reserves the right, at its sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. NANOTRONICS will post any changes to these Terms of Use on the Site. All changes are effective immediately when we post them and apply to all access to and use of our Site thereafter. You agree that it is your responsibility to periodically review the Site to see if this Agreement has been revised or amended. Your continued use of our Site following the posting of revised Terms of Use means that you accept and agree to the changes. Supplemental terms and conditions or documents that may be posted on or made available through the Site from time to time are hereby expressly incorporated herein by reference. Our Site is offered and available to users who reside in the United States or any of its territories or possessions. You may not use our Site if you are Using the Site from outside the United States. This Site and all content that is made available in any form on the Site, including all related software, product designs and descriptions, text, graphics, pictures, video, audio, information, applications, media and other files, and their selection and arrangement (individually and collectively, “Digital Content”) shall be owned by and are the exclusive property of NANOTRONICS, its licensors, or other third parties and are protected by copyright, patent, trademark, and other intellectual property laws. You may not modify, transmit, publish, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, or in any other way exploit, practice or use any of the Digital Content, in whole or in part.

Without limiting the foregoing, the NANOTRONICS trademarks, service marks, and related logos are proprietary trademarks and may not be used by you for any purpose. All third-party trademarks displayed on the Site are the trademarks of their respective owners and may only be used with the express, written permission of the owner. If and when the Site displays the trademarks of third parties, such action constitutes neither: (i) an endorsement or recommendation of those third parties by NANOTRONICS; nor (ii) an endorsement or recommendation of NANOTRONICS by those third parties.

We reserve all rights not expressly granted to you in and to the Site, the Digital Content, and any Site marks.

4. Notification of Claimed Copyright Infringement

We respond to notices of alleged copyright infringement under United States Law consistent with the United States Digital Millennium Copyright Act. If you believe that your copyrighted work has been copied and is accessible on our Site in a way that constitutes copyright infringement, you may notify us by providing our copyright agent the following information and we will investigate and/or follow up with you directly:

  • A description of the copyrighted work that you claim has been infringed;
  • Identification of the URL or other specific location on the Site where the material you claim is infringing is located;
  • Your name, address, telephone number, email address, and statement that you are an authorized person to act on behalf of the owner of the copyright;
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • An affidavit submitted by you, sworn to, and made under the penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are an authorized agent to act on behalf of the copyright owner.

6. Your Voluntary Submissions

NANOTRONICS may collect information that is voluntarily provided by you or with your permission when you subscribe to our e-newsletters and other marketing materials (an “Information Request”). For example, we may ask you for information, such as your name and e-mail address. When you provide information to NANOTRONICS in connection with an Information Request, you agree to provide only true, accurate, current, and complete information and all such information you provide will be subject to our Privacy Policy.

You acknowledge and agree that all questions, comments, suggestions, ideas, feedback, or other information (“Submissions”) provided by you to us, including without limitation any information you submit to us through the “Feedback” function available on the Site, is non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of Submissions without limitation, without acknowledgement and without any obligation to compensate you. You hereby assign to us any and rights in and to all Submissions you make, waive all rights in and to any such Submissions, and warrant that all Submissions you submit are original works or information owned by you and that you have the unrestricted right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

7. Using the Site, Changes to the Site and Availability

We reserve the right to withdraw or amend our Site, and any service or material we provide on our Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of our Site is unavailable at any time or for any period. From time to time, we may restrict access to some or all of our Site.

You are responsible for making all arrangements necessary for you to have access to our Site; and ensuring that all persons who access the Site through an internet connection and/or on hardware made available by or through you, in each case, are aware of, agree to be bound by these Terms of Use and comply with them.

You may not violate or attempt to violate the security of our Site, including by, without limitation, (a) accessing data not intended for you or logging on to a server or an account which you are not authorized to access; (b) using any portion of our Site for unintended purposes or trying to change the behavior of our Site; (c) attempting to probe, scan or test the vulnerability of a system or network or breach security authentication measures without proper authorization; (d) attempting to interfere with service to any user, host, or network, including without limitation via means of submitting a virus to our Site, overloading, flooding, spamming, mailbombing or crashing; (e) forging any Transmission Control protocol/Internet Protocol (TCP/IP) packet header or any part of the header information in any email or newsgroup posting; or (f) forging communications on behalf of NANOTRONICS (impersonating NANOTRONICS) or to our Site (impersonating as a legitimate user).

We may prosecute you to the full extent of the law for any violation of these Terms.

8. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. While we may provide information about our services and products through our Site, the Site is intended for your Use and made available to further your consideration of your purchase from Us of the products and services we make commercially available.

As a user of the Site, you may not do any of the following agree not to:

  • Systematically retrieve data or other Digital Content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

  • Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
  • Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.
  • Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
  • Copy or adapt the Site’s Digital Content, including any software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
  • Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
  • Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
  • Use a buying agent or purchasing agent to make purchases on the Site.
  • Make any unauthorized use of the Site, including collecting email addresses of users by electronic or other means for the purpose of sending unsolicited email.
  • Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Digital Content for any revenue-generating endeavor or commercial enterprise.

YOU AGREE THAT USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE, ANY AND ALL INFORMATION, INCLUDING DIGITAL CONTENT, PROVIDED AT OR THROUGH THE SITE, AND ALL SERVICES PROVIDED AT OR THROUGH THE SITE, ARE PROVIDED “AS IS.”WE DO NOT MAKE AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AND ANY AND ALL ENDORSEMENTS OR REPRESENTATIONS WHATSOEVER, AS TO THE OPERATION OF THE SITE AND THE INFORMATION, DIGITAL CONTENT, MATERIALS, SERVICES OR PRODUCTS AVAILABLE AT, CONTAINED IN OR REFERENCED ON THE SITE. IN NO EVENT WILL NANOTRONICS, OUR AFFILIATES, NOR ANY OF ITS RESPECTIVE EMPLOYEES, AGENTS, THIRD-PARTY PROVIDERS, OR LICENSORS, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DISTRIBUTING THE SITE OR THE DIGITAL CONTENT INCLUDED THEREIN, BE LIABLE IN CONTRACT, IN TORT (INCLUDING FOR ITS OWN NEGLIGENCE) OR UNDER ANY OTHER LEGAL THEORY (INCLUDING STRICT LIABILITY) FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR SIMILAR DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, LOSS OF USE OR SIMILAR ECONOMIC LOSS, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE OR DIGITAL CONTENT.

Any claims arising in connection with your use of the Site or Digital Content must be brought within one (1) year of the date of the event giving rise to such action occurred. If you are dissatisfied with the Site or Digital Content, you should contact us as specified in our Privacy Policy or you may elect to discontinue to use the Site.

Bargained for Basis. You acknowledge and agree that the limitations of liability set forth above are fundamental elements of these Terms and neither the Digital Content nor the Site would be provided to you absent such limitations of liability.

APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

10. Term and Termination

These Terms of Use shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR ABILITY TO ACCESS THE SITE WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

11. Indemnification

You agree to defend, indemnify, and hold harmless NANOTRONICS and its affiliates and their respective directors, members, officers, employees, and agents from and against any and all claims, actions, demands, damages, costs, liabilities, losses and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, including but not limited to, your violation of this Agreement, or your infringement of any intellectual property rights.

12. Technology Export Control

Without implicitly limiting any other provision of this Agreement, through the Bureau of Industry and Security and its use of the Export Administration Regulations, the United States government has implemented export control laws that regulate the export and re-export of technology originating from within the United States. This technology includes the electronic transmission of information or software. The export control laws regulate the exporting or re-exporting of this technology to foreign countries and to certain foreign nationals. As a Visitor you agree to abide by these laws and regulations, including but not limited to, the Export Administration Act, U.S. Foreign Corrupt Practices Act and the Arms Export Control Act and not to transfer, by electronic transmission or otherwise, any Digital Content from the Site to either a foreign national or foreign destination in violation of such laws.

The Site may include links to sites owned and maintained by third parties not related to NANOTRONICS (collectively referred to as “Third-Party Sites”). Any such links to the websites or other properties of third parties are provided for your convenience only, and such links do not imply endorsement by NANOTRONICS or affiliation of such Third-Party Sites or the content contained therein. You acknowledge that we are not responsible for the availability of, or the content, or products located through any Third-Party Sites. You should contact those Third-Party Sites if you have any concerns regarding such links. Your use of any Third-Party Sites is subject to the terms & conditions of use and privacy policies of those sites. We encourage you to review all of the Third-Party Sites’ policies.

NANOTRONICS disclaims all warranties, express or implied, as to the accuracy, legality, reliability, or validity concerning any Third-Party Sites and their product or content offerings, and you agree that any recourse for dissatisfaction or problems with any Third-Party Sites must be directed to the third party and not NANOTRONICS.

Any opinions, advice, statements, offers, or other information or content expressed or made available by third parties, are those of the third party and not of NANOTRONICS.

14. Site Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (4) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

15. Governing Jurisdiction

Although it is not intended to be Used from outside the United States, We recognize that the Site can be accessed from other countries around the world. Although each of these jurisdictions have laws that may differ from those of the United States, by accessing the Site from any location in the world, in addition to materially breaching these Terms of Use, you agree that all matters relating to access to, or use of, the Site, or any other hyperlinked website, shall be governed by and construed in accordance with the laws of the State of New York.

16. Compliance with Laws and International Use

You assume all knowledge of applicable laws and are responsible for compliance with any such laws. You may not use the Site in any way that violates applicable state, federal, or international laws, treaties, regulations, or other government requirements.

Furthermore, we make no representation that Digital Content on the Site is appropriate or available for use in locations outside the United States and accessing them from territories where such Digital Content is illegal is prohibited. Those who choose to access the Site from other locations outside of the United States do so on their own initiative and at their own risk and are responsible for compliance with those local laws and regulations.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, without limiting any other terms set forth herein, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

17. General Data Protection Regulation

NANOTRONICS does not actively target or market to any EU member state. However, NANOTRONICS does engage with some customer companies who have or maintain a presence in the EU or who have customers and data subjects in the EU, any of which may be covered under GDPR. In such instances, NANOTRONICS may process or control an EU citizen’s user information under a valid legal basis such as a contract to provide such services or with the consent of the EU citizen. This Agreement, in conjunction with our Privacy Policy, and its enumerated provisions are intended to comply with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (the “General Data Protection Regulation” or “GDPR”) and provide appropriate protection and care with respect to the treatment of all Visitor information in accordance with the GDPR.

If you are a resident of the EU, you have specific rights including the right to know what Visitor Information NANOTRONICS collects or processes about you, a way to amend incorrect Visitor Information NANOTRONICS may have on its records, or make a request to delete Visitor Information. In some instances, NANOTRONICS may require explicit consent from you to process certain Visitor Information. In such instances, you will receive a direct request from NANOTRONICS for your permission to collect and/or process your Visitor Information and you will be required to provide affirmative consent. 18. California Consumer Protection Act

The States of California, Colorado, Connecticut, Virginia and Utah have enacted data protection regulations (e.g., California Consumer Privacy Act (“CCPA”) and copycat versions) which provide residents with specific rights as to the privacy and management of their information. These laws include the right to know what information a business has on its systems, how that information is used, a right to request it be deleted, a right to restrict use and disclosure of sensitive personal information, a right to correct any inaccurate information on our Site, and a right to request that we do not share your personal information. 19. Arbitration of Disputes

Any dispute related to Your Usage of the Site and/or these Terms of Use shall at Our election be resolved by binding arbitration pursuant to the JAMS International Arbitration Rules, including without limitation, Article 3 thereof (Emergency Relief Procedures). The matter shall be heard by one arbitrator appointed in accordance with the applicable rules/procedures. In rendering a decision, the arbitrator shall not expand or restrict any of either party’s respective rights or obligations beyond those as provided for in these Terms of Use. We and You shall cooperate in providing reasonable disclosure of relevant documents. The site of such arbitration shall be in New York, New York, USA and the language will be English. The award and determination of the arbitrator will be final and binding upon both You and Us and may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing provisions of this Section 19, We may bring an action seeking an injunction to protect its intellectual property, confidential information or proprietary rights in any court or tribunal that has jurisdiction over You.

20. Miscellaneous Terms

These Terms of Use constitute the entire agreement and understanding between us, superseding any prior agreements and understandings, and govern your use of the Site.
